SyncUp Terms of Service

Terms governing SyncUp app usage, user content, venue tools, moderation, and dispute provisions.

1. Agreement to these Terms

These Terms of Service ("Terms") are a legal agreement between you and SyncUp Technologies LLC ("SyncUp," "we," "us," or "our") governing your access to and use of the SyncUp mobile app, SyncUp Pro web surfaces, websites, and related services (collectively, the "Service"). By creating an account, accessing, or using the Service, you agree to these Terms, our Privacy Policy, and our Community Guidelines.

If you do not agree to these Terms, do not access or use SyncUp.

2. Eligibility: 21+ only

You must be at least 21 years old to create an account or use SyncUp. By using the Service, you represent and warrant that you are at least 21, that all information you provide is accurate, and that you are legally allowed to use the Service. We may deny access, suspend, or terminate accounts that do not satisfy our eligibility requirements.

SyncUp is launching for users in the United States. If you access the Service from outside the United States, you are responsible for complying with applicable local laws, and some features may not be available or appropriate in your location.

3. Your account and security

You are responsible for maintaining the confidentiality of your login credentials and for activity that occurs under your account. You agree to provide accurate, current, and complete information and to update it when necessary. You may not sell, transfer, share, or allow another person to use your account in a way that violates these Terms or our policies.

If you believe your account has been compromised, contact support@syncuptechnologies.com as soon as possible.

4. The SyncUp Service

SyncUp helps eligible users discover bars and venues, view venue pages, check in, create plans and events, invite friends, comment, like, vote in polls, send messages, receive notifications, and coordinate nightlife activity. SyncUp may also provide venue-owner tools through SyncUp Pro, including venue claiming, profile management, official event publishing, team invitations, analytics, and related features.

We may modify, add, remove, suspend, or discontinue features at any time. Some features may be experimental, limited to certain users, limited by geography, or subject to additional terms.

5. Privacy, location, and visibility settings

Your use of SyncUp is also governed by our Privacy Policy. SyncUp includes location-based and social features. Depending on your settings and how you use the Service, other users may see or infer information about your profile, check-ins, plans, events, venue activity, friend activity, comments, messages, or other interactions.

You are responsible for choosing appropriate privacy settings and for deciding what information to share. Do not share another person's location, check-in, plans, nightlife activity, messages, or personal information without consent.

6. User content

"User Content" means content you or other users submit, post, upload, create, send, display, or otherwise make available through SyncUp, including profiles, bios, photos, check-ins, plans, events, comments, messages, poll votes, ratings, venue lists, favorites, reports, and other content or activity.

You retain ownership of your User Content, subject to the license you grant SyncUp below and any rights held by others. You are solely responsible for your User Content and represent that you have all rights needed to provide it and that it does not violate law, these Terms, our Community Guidelines, or the rights of any third party.

You grant SyncUp a non-exclusive, worldwide, royalty-free, sublicensable, transferable license to host, store, reproduce, modify for formatting or technical purposes, display, perform, distribute, publish, transmit, and otherwise use your User Content as necessary to operate, provide, secure, improve, and promote the Service. This includes displaying User Content to other users according to your settings and using public User Content in marketing or promotional channels, subject to reasonable removal requests where appropriate.

Deleting content or your account may not immediately remove all copies from backups, logs, cached views, previously shared surfaces, other users' devices, or safety and moderation records, as described in our Privacy Policy.

7. Community Guidelines and acceptable use

You agree to follow our Community Guidelines and all applicable laws. You may not use SyncUp to:

harass, bully, threaten, stalk, intimidate, exploit, or target another person;

post hate speech, discriminatory content, slurs, or dehumanizing content;

share sexual exploitation, non-consensual sexual content, or predatory messages;

upload, share, request, solicit, threaten to share, link to, or facilitate child sexual abuse material (CSAM), child sexual abuse and exploitation (CSAE), grooming, sextortion, trafficking, sexualization of minors, or any content or conduct that exploits, harms, endangers, or targets minors;

promote violence, unsafe meetups, dangerous drinking behavior, drinking and driving, illegal drug sales, or illegal activity;

misrepresent your age, identity, venue affiliation, business affiliation, event authority, or ownership rights;

create fake events, fake plans, fake promotions, fake venue claims, fake ticketing, fake crowd data, or misleading safety information;

share another person's location, check-in, plans, nightlife activity, private messages, or personal information without consent;

spam, scam, phish, scrape, manipulate engagement, abuse reports, or interfere with platform systems;

infringe intellectual property, privacy, publicity, or other rights;

evade bans, suspensions, feature restrictions, or rate limits; or

attempt to access, modify, or use systems, data, accounts, or features without authorization.

8. Child safety, CSAE, and CSAM

SyncUp strictly prohibits child sexual abuse and exploitation (CSAE), child sexual abuse material (CSAM), grooming, sextortion, trafficking, sexualization of minors, or any content or conduct that exploits, harms, endangers, or targets minors. Because SyncUp is a 21+ service, any attempt to involve minors in SyncUp activity, nightlife activity, sexual content, unsafe meetups, or alcohol-related content is prohibited.

We may remove content, permanently ban accounts, preserve evidence, disclose information, and report suspected CSAE, CSAM, grooming, trafficking, or child endangerment to law enforcement, NCMEC, or other appropriate authorities as required or permitted by law.

Child safety concerns, including potential CSAE or CSAM, should be reported in the app or sent to support@syncuptechnologies.com.

9. User interactions and real-world activity

SyncUp helps users coordinate real-world nightlife activity, but we do not control users, venues, events, transportation, alcohol service, crowd conditions, safety conditions, or third-party behavior. You are responsible for your own decisions, interactions, transportation, alcohol consumption, and safety.

SyncUp is not an emergency service. If you or someone else is in immediate danger, contact local emergency services.

10. Events, venue information, and SyncUp Pro

SyncUp may display venue information, events, hours, photos, amenities, ratings, price levels, popularity or crowd indicators, check-ins, directions, descriptions, links, and other venue-related content. Venue information may come from internal databases, third-party sources, venue owners or managers, users, or manual/admin edits. We do not guarantee that venue or event information is accurate, complete, current, safe, or available.

User-created events and plans must not be presented as official venue events unless created or approved by an authorized venue account. Venue owners, managers, staff, influencers, DJs, and other business users must have the authority to claim, edit, manage, or represent a venue, event, or business on SyncUp. We may remove or restrict venue claims, venue content, official events, team access, or business tools if we believe they are unauthorized, misleading, fraudulent, unsafe, or in violation of our policies.

11. Direct messages, notifications, and communications

SyncUp may allow users to send direct messages, comments, invitations, tags, friend requests, and other communications. These features may be restricted by privacy settings, friendship status, blocking, reporting, moderation, or account status. You may not use communications features to harass, threaten, spam, scam, exploit, pressure, or target others.

By using SyncUp, you may receive service-related communications, such as account, safety, moderation, security, invitation, event, friend, message, and notification updates. You can manage certain notification preferences in the app or through your device settings.

12. Reporting, blocking, moderation, and enforcement

SyncUp provides reporting and blocking tools. We may review reports, investigate behavior, moderate content, restrict features, remove content, warn users, suspend accounts, ban accounts, or take other action we determine is appropriate to protect users, venues, the public, or the integrity of the Service.

We may use automated or manual systems, rate limits, administrative review, and other measures to identify or respond to suspected abuse. We are not required to monitor all content or to explain every moderation decision. A user-facing appeal process is not available at launch, but you may contact support@syncuptechnologies.com if you believe action was taken in error.

If your account is banned or suspended, you may not create a new account, use an alternate account, or access SyncUp through another person's account unless we expressly permit it after review.

13. Intellectual property in SyncUp

SyncUp, including the app, software, design, interface, features, trademarks, logos, trade names, graphics, text, and other materials, is owned by SyncUp Technologies LLC or its licensors and is protected by intellectual property and other laws. Except for the limited right to use the Service as permitted by these Terms, we do not grant you any ownership or license rights in SyncUp.

You may not copy, modify, distribute, sell, lease, reverse engineer, attempt to extract source code from, or create derivative works based on the Service except as permitted by law or with our written permission.

14. Copyright and rights complaints

If you believe content on SyncUp infringes your copyright, trademark, privacy, publicity, or other rights, contact legal@syncuptechnologies.com with enough information for us to evaluate the request, including identification of the content, your contact information, the rights you claim, and any supporting documentation.

We may remove or restrict content that appears to infringe rights or violate our policies, and we may terminate repeat infringers where appropriate.

15. Third-party services and app stores

SyncUp may link to, integrate with, or rely on third-party services, including maps, geocoding, authentication, notifications, hosting, storage, venue websites, Instagram pages, phone links, map/direction providers, app stores, and device platforms. Third-party services are governed by their own terms and privacy policies, and we are not responsible for their content, accuracy, availability, or practices.

If you download SyncUp through the Apple App Store, Google Play, or another app platform, the platform's terms may also apply. The app platform is not responsible for providing maintenance or support for SyncUp unless required by applicable platform terms or law.

16. Payments, subscriptions, and promotions

At launch, SyncUp does not implement paid consumer features, in-app purchases, ad SDKs, or paid consumer subscriptions. SyncUp Pro venue subscriptions, boosted content, venue analytics, business tools, ads, or other paid/promotional features may be offered in the future and may be subject to additional terms, app-store billing rules, invoices, payment processor terms, or separate agreements.

Do not use SyncUp to create fraudulent promotions, unauthorized ticketing, misleading paid events, or scams.

17. Feedback

If you provide ideas, suggestions, comments, or feedback about SyncUp, you grant us the right to use that feedback without restriction or compensation to you, unless we agree otherwise in writing.

18. Account deletion and termination

You may request account deletion through the app. Account deletion may involve deletion, hiding, tombstoning, or anonymization of profile information, content, messages, social relationships, venue relationships, notifications, preferences, and related records according to our deletion workflow and Privacy Policy.

We may suspend, restrict, or terminate your access to the Service at any time if we believe you violated these Terms, our Community Guidelines, law, or platform integrity requirements, or if we believe action is necessary to protect users, venues, the public, or SyncUp.

Sections of these Terms that by their nature should survive termination will survive, including provisions about User Content licenses, enforcement records, intellectual property, disclaimers, limitations of liability, indemnification, dispute resolution, and governing law.

19. Disclaimers

To the fullest extent permitted by law, SyncUp is provided on an "as is" and "as available" basis. We do not guarantee that the Service will be uninterrupted, secure, error-free, accurate, complete, current, or available at any particular time or location.

We do not guarantee any venue experience, event experience, crowd condition, safety condition, social outcome, business result, user interaction, match, recommendation, or real-world outcome. You use SyncUp and participate in nightlife activity at your own risk.

20. Limitation of liability

To the fullest extent permitted by law, SyncUp Technologies LLC and its owners, officers, employees, contractors, agents, affiliates, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or enhanced damages; loss of profits, revenues, goodwill, data, or business opportunities; or damages arising from user conduct, venue conduct, third-party services, events, nightlife activity, or unauthorized access to or use of the Service.

To the fullest extent permitted by law, SyncUp's total liability for any claim arising out of or relating to the Service or these Terms will not exceed the greater of the amount you paid SyncUp, if any, for the Service giving rise to the claim during the six months before the claim arose or one hundred U.S. dollars ($100). Some jurisdictions do not allow certain limitations, so some limitations may not apply to you.

21. Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless SyncUp Technologies LLC and its owners, officers, employees, contractors, agents, affiliates, licensors, and service providers from and against claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising out of or related to your User Content, your use of the Service, your violation of these Terms or our policies, your violation of law, your interactions with other users or venues, or your violation of another person's rights.

22. Governing law and disputes

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles, except to the extent applicable law requires otherwise. Before filing a legal claim, you agree to contact us at legal@syncuptechnologies.com and attempt to resolve the dispute informally for at least 30 days, unless the dispute involves urgent injunctive relief, intellectual property enforcement, account safety, abuse, threats, or other circumstances where informal resolution would be inappropriate.

Subject to applicable law, the state and federal courts located in Bexar County, Texas will have exclusive jurisdiction over disputes arising out of or related to these Terms or the Service. To the fullest extent permitted by law, disputes must be brought on an individual basis and not as a plaintiff or class member in any class, collective, consolidated, or representative action.

23. Changes to these Terms

We may update these Terms from time to time. If we make changes, we will update the "Last updated" date. If required by law, we will provide additional notice or request consent. Your continued use of SyncUp after updated Terms become effective means you accept the updated Terms.
